Installing Windows 8 Upgrade on a new hard disk

I am new to the forums, so sorry if I do anything wrong.
Me and my friend are making a joint computer build. It is my first time, but this guy has built a couple before. I currently have a Dell Optilex Gx270 running Windows XP with a Pentium 4 processor, and 70gg hard drive. On my new computer I will have a 250gb hardrive that I am going to put in.My new motherboard accepts both hardrives, and so I will be able to run windows XP on my new computer before I upgrade operating system later.
My question is, can I install a version of Windows 8 Upgrade onto the new hard disk legitimately. I have seen people do it before, but is it illegal? I don't want to break the law! Do I have to get a OEM version instead? I can't really afford the OEM version.
I don't mind if this makes my old hard disk inactive, that would be fine, as long as I can take my files off, and install Linux instead.
Also, the upgrade needs to be 64 bit, my current opperating system is 32 bit, is this a problem? Will it be a proble if I buy the disk from a retailer rather than downloading it?
